Terms of Service & Privacy Policy

1. Overview

These Terms of Service constitute a legally binding agreement between you ("Client") and 99 Web Guys LLC ("Company," "we," "us," or "our"), located at 890 W Elliot Rd, Suite 101, Gilbert, AZ 85233. By subscribing to our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

2. Subscription Service

99 Web Guys offers a website maintenance subscription service at $99 per month. The Client's monthly fee is consideration for ongoing website maintenance services, including content updates, technical upkeep, security monitoring, and general support of the Client's website.

As part of being an active maintenance client, the Client is also provided complimentary access to a 99 Web Guys-designed and built website, along with platform access, SSL security, and on-page SEO optimization, at no additional charge. These items are not separately sold goods or services; they exist solely to enable us to perform the maintenance services the Client is paying for.

Your subscription is billed on a month-to-month basis with no long-term contract required. You may cancel at any time with no cancellation fee.

3. Website File Ownership

The Client's $99/month subscription is a maintenance services subscription, not a purchase of website files. Because the Company does not charge an upfront build fee, the website files, code, design assets, and underlying technical infrastructure remain the exclusive property of 99 Web Guys LLC.

If the Client cancels the subscription, the website files will not be transferred to the Client. The Client retains full ownership of all text, images, logos, and content the Client provided to us. That content is the Client's to take to any other provider at any time. Upon cancellation or service discontinuation for any reason, 99 Web Guys LLC will, upon written request within 30 days, provide the Client with a copy of all original content (text, images, logos) the Client provided to us, delivered via email or download link in a standard, accessible format.

Additionally, all websites built by 99 Web Guys LLC are hosted exclusively on our platform. The resulting website files are specific to our hosting architecture and would not function on traditional web hosting environments. As such, transferring files outside of our platform would not provide a functioning website.

At its sole discretion and under custom circumstances, 99 Web Guys LLC may offer a file export or transfer option for an additional charge. This is evaluated case by case and is not a standard offering.

4. 30-Day Money-Back Guarantee

We stand behind our work. If the Client is not fully satisfied with the completed website within 30 days of launch, contact us at hello@99webguys.com and we will issue a full refund of the Client's first month's $99 payment. No questions asked. This guarantee applies to the Client's first payment only and does not extend to subsequent billing cycles. The guarantee applies to dissatisfaction with the design, build quality, or service experience, and does not apply to circumstances beyond our reasonable control, including third-party platform failures, force majeure events, or service interruptions caused by infrastructure providers.

5. Cancellation Policy

The Client may cancel the subscription at any time by contacting us at hello@99webguys.com. There is no cancellation fee. Upon cancellation, there is no refund for any remaining balance in the current billing period. The subscription will simply not bill at the next scheduled billing date. The Client's website will remain active through the end of the current billing period, after which it will be taken offline. Website files will not be transferred upon cancellation.

6. Maintenance Services Provided

The Client's monthly maintenance subscription includes the following ongoing services:

• ✓Unlimited monthly text and image content updates
• ✓Ongoing technical maintenance and platform updates
• ✓Security monitoring and SSL certificate management
• ✓On-page SEO maintenance (meta tags, sitemap, header structure)
• ✓General website support and troubleshooting

Active maintenance clients are also provided complimentary access to:

• •A professionally designed and built website (typically launched within 5 to 7 business days after intake form submission)
• •Hosting infrastructure managed by 99 Web Guys on the Internet Computer Protocol (ICP) platform
• •Platform infrastructure necessary to operate the maintained website

These complimentary items are provided to facilitate the maintenance services and are not sold separately.

7. Disclaimer of Warranties

Services are provided "as is" and "as available." 99 Web Guys LLC makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, uninterrupted service, error-free operation, or continued availability of any specific platform, technology, or infrastructure provider. The Client acknowledges that internet-based services may experience downtime, technical issues, or discontinuation of underlying technologies outside of our control.

8. Limitation of Liability

99 Web Guys LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the Client's use of our services or any interruption of service outside our reasonable control, including but not limited to lost profits, lost revenue, lost business opportunity, loss of data, or reputational harm. Our total cumulative liability to the Client for any and all claims arising from or related to these Terms or our services shall not exceed the amount paid by the Client in the most recent monthly billing cycle.

9. Third-Party Platforms and Infrastructure

Our services rely on third-party platforms, infrastructure providers, and technologies that are operated independently of 99 Web Guys LLC. The Client acknowledges that we have no control over the continued availability, functionality, or operation of these third parties. In the event that any essential third-party platform or infrastructure provider is discontinued, becomes unavailable, suffers extended outages, is subject to regulatory action, or otherwise ceases to function, 99 Web Guys LLC's obligation to provide service shall be excused without penalty. In such event, our sole obligation shall be to (i) provide reasonable notice to the Client, (ii) cease further billing, and (iii) attempt in good faith to return the Client's original content as described in Section 3. 99 Web Guys LLC shall not be liable for any damages, lost revenue, lost business opportunity, or any other losses arising from third-party failures or discontinuation.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, pandemics, government action, regulatory changes, internet or telecommunications failures, third-party platform failures or discontinuation, cyberattacks, or any other event of force majeure. In the event of such an occurrence, 99 Web Guys LLC may suspend or terminate service without liability.

11. Indemnification

The Client agrees to indemnify, defend, and hold harmless 99 Web Guys LLC, its officers, members, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (i) content the Client provides to us for use on the Client's website, (ii) the Client's use of the website or our services, (iii) the Client's violation of these Terms, or (iv) the Client's violation of any third-party right, including intellectual property, privacy, or publicity rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or our services shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and the Client consents to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between the Client and 99 Web Guys LLC regarding the Client's use of our services and supersede any prior agreements, communications, or understandings.

15. Modifications to Terms

We may update these Terms of Service from time to time. For any material changes, we will provide active clients with at least 30 days' advance notice via email to the address on file. Changes will take effect on the date specified in the notice. Continued use of our services after the effective date of such changes constitutes acceptance of the revised terms. Non-material changes (such as typo corrections or clarifications) may take effect immediately upon being posted.
